Terms of Service — Apex Global Security
Effective Date: August 17, 2025
1) Who We Are; Contract Formation
These Terms of Service (“Terms”) govern your access to and use of the website operated by Apex Global Security — www.ApexGlobalSecurity.com — and all related online workflows (quotes/intake, Call for Service, Emergency Service, careers) (collectively, the “Online Services”). By using the Online Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Online Services.
Submitting a form or contacting us does not create a services engagement. Any on-site work (armed/unarmed guards, patrols, executive protection, K-9, event security, UAV/drone, police/off-duty support) requires a separate written services agreement signed by Apex Global Security and the client (the “Service Agreement”). If these Terms ever conflict with a Service Agreement, the Service Agreement controls.
Not for emergencies. If you are in immediate danger, call 911. Online submissions are not guaranteed to be monitored in real time.

3) Eligibility; Authority
You must be 18 or older and able to form a binding contract. If you use the Online Services for an entity or property, you represent you have authority to bind that entity.
4) Acceptable Use & Restrictions
You agree to use the Online Services only for lawful purposes and legitimate requests. You will not:

scrape, crawl, spider, harvest, or bulk-download data or content;

probe, scan, or test vulnerabilities; bypass or interfere with security; conduct load or penetration tests without Apex Global Security’s written permission;

frame, mirror, or simulate the Site;

impersonate others; submit false, misleading, infringing, or defamatory material; upload malware;

instruct Apex Global Security to do anything unlawful or beyond legal authority (including trespass or UAV/airspace violations).
5) Submissions; Client Responsibilities
Your submissions (requests, addresses, access instructions, property rules, job applications) must be accurate, complete, and lawful. You grant Apex Global Security a non-exclusive license to use submitted information to evaluate requests, deliver quotes, provide services, operate the business, and comply with law.
Clients are responsible for lawful instructions and all required permits, signage, notices, and consents for monitoring/recording, trespass enforcement, access control, and any UAV activity at their premises, unless expressly assumed by Apex Global Security in a signed Service Agreement. Nothing here expands a guard’s legal authority beyond Arizona law.
6) Third-Party Contractors (UAS/K-9/Police/Other)
Apex Global Security may engage or coordinate independent third-party contractors for certain components (including but not limited to UAV/drone pilots, K-9 teams/handlers, police/off-duty coordination, EMT/medical standby, traffic control, event staffing, and specialized vendors):

Independent Status. Third-party providers are independent contractors, not employees, agents, partners, or joint venturers of Apex Global Security.

Compliance & Licensing. Each provider is solely responsible for holding and maintaining all required licenses/authorizations and operating in compliance with applicable law (for example, commercial UAS operations requirements).

Insurance. Each provider is responsible for its own insurance coverage. Unless your Service Agreement explicitly states otherwise, Apex Global Security does not warrant a provider’s insurance sufficiency.

Selection & Direction. If you select or require a specific provider, or if Apex Global Security coordinates a provider at your request, you are responsible for confirming suitability for your risk profile and site rules.

No Warranties; No Vicarious Liability Beyond Law. Apex Global Security does not warrant the acts/omissions, equipment, animals, vehicles, aircraft, or outcomes of any third-party provider, and is not liable for their conduct except to the extent required by non-waivable law.

K-9 Teams. Handlers are solely responsible for control and deployment of animals; you must ensure required site signage/consents and safe conditions.

Police/Off-Duty/Law Enforcement. Any police presence is delivered by the law-enforcement agency/officer under their own legal authority; Apex Global Security is not responsible for law-enforcement decisions.

Indemnity. You agree to defend, indemnify, and hold harmless Apex Global Security from claims arising out of third-party providers engaged at your request and from your site-specific conditions or instructions.
(Additional-insured requirements, certificates, and performance standards belong in the Service Agreement.)
7) Quotes; Payments; Refunds
Online quotes/estimates are non-binding and subject to assessment, risk, staffing, and availability. Payments, deposits, refunds, cancellations, and minimums are governed by the Service Agreement or order terms. Unless required by law or expressly stated in the Service Agreement, fees are non-refundable once services are scheduled, dispatched, or performed.
8) Operational Disclaimers; No Guarantees
Security services reduce risk but do not eliminate risk. Apex Global Security does not guarantee prevention of crime, injury, loss, or interference. Response times, staffing, patrol frequency, equipment, and UAV flights may vary with demand, weather, traffic, safety conditions, or force majeure. Apex Global Security is not a law-enforcement agency.
9) Intellectual Property
All Site content is owned by Apex Global Security or its licensors. We grant a limited, revocable, non-transferable license to access and use the Site for its intended purpose; all other rights are reserved.
10) Third-Party Services & Links
We may use or link to third-party tools (hosting, analytics, maps, messaging, background screening, payment). Those providers have their own terms and policies; Apex Global Security is not responsible for them.
11) No Warranties
THE ONLINE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX GLOBAL SECURITY (AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOSS OF DATA; SECURITY BREACHES BY THIRD PARTIES; OR BUSINESS INTERRUPTION.
CAP: TOTAL LIABILITY FOR CLAIMS RELATING TO THE ONLINE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE FEES (IF ANY) YOU PAID FOR ONLINE-SERVICE FEATURES IN THE 3 MONTHS BEFORE THE EVENT.
13) Indemnification
You agree to defend, indemnify, and hold harmless Apex Global Security from claims, losses, and costs (including reasonable attorneys’ fees) arising from: (a) your use of the Online Services; (b) your submissions, instructions, property conditions, or failure to obtain required notices/consents/permits; (c) your violation of these Terms or law; and (d) third-party contractor activities engaged at your request.
14) Dispute Resolution; Governing Law (Arizona)
These Terms are governed by the laws of the State of Arizona (without regard to conflicts rules).
Binding Arbitration; Class Waiver. Except for small-claims or injunctive relief, any dispute shall be resolved by binding arbitration administered by JAMS in Phoenix, Arizona on an individual basis. No class, collective, or representative actions.
Opt-Out: Email Contactapex@apexglobalsecurity.com (subject: “Arbitration Opt-Out”) within 30 days of first use with your name and address.
Venue for Non-Arbitrable Claims: State or federal courts in Maricopa County, Arizona; you consent to personal jurisdiction there.
15) E-Sign & Notices; Export Controls
You consent to electronic notices and agree e-signatures have the same force as handwritten signatures. You will not use the Online Services in violation of U.S. export control or sanctions laws.
16) Force Majeure
Apex Global Security is not liable for delays or failures due to events beyond reasonable control, including emergencies, outages, severe weather, labor issues, civil disturbances, or governmental actions.
17) Assignment; Severability; Entire Agreement; No Waiver
You may not assign these Terms without our written consent. If any provision is unenforceable, the remainder remains in effect. These Terms, together with the Privacy Policy and any Service Agreement, are the entire agreement regarding the Online Services. No waiver is effective unless in writing and signed.
18) Changes to These Terms
We may update these Terms by posting a revised version with a new Effective Date. Continued use means you accept the updated Terms.
